YOUR PARTICIPATION IN THE Clutched.us SWEEPSTAKES IS SUBJECT TO THESE OFFICIAL SWEEPSTAKES RULES, WHICH FORM PART OF THE Clutched.us TERMS OF SERVICE (THE “TERMS” OR “TERMS OF SERVICE”). ALL ACTIVITY THROUGH THE SITE, INCLUDING PARTICIPATION IN ANY SWEEPSTAKES, IS SUBJECT TO THE TERMS OF SERVICE, INCLUDING THE MANDATORY ARBITRATION AND CLASS ACTION WAIVER PROVISIONS CONTAINED THEREIN.

ANY CAPITALIZED TERMS NOT EXPRESSLY DEFINED IN THESE OFFICIAL SWEEPSTAKES RULES HAVE THE MEANING GIVEN TO THEM IN THE TERMS OF SERVICE. THE TERMS OF SERVICE REQUIRE YOU TO ARBITRATE CERTAIN CLAIMS AGAINST THE COMPANY ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS OR REPRESENTATIVE ACTION.

These Official Sweepstakes Rules (“Sweepstakes Rules” or “Official Rules”) are incorporated into and form part of the Clutched.us Terms of Service. They do not replace the Terms of Service or constitute a separate agreement. Defined terms used in the Terms of Service have the same meaning when used in these Sweepstakes Rules unless expressly stated otherwise.

The Site’s Privacy Policy also applies. Any information provided by an Entrant to the Sponsor will be processed in accordance with the Privacy Policy and the Terms of Service.

===Clutched Limited=== operates the Site. The Site provides Games for entertainment purposes and also offers free promotional sweepstakes (“Sweepstakes”).

Users may obtain Sweep Coins free of charge through the methods described in these Sweepstakes Rules. Sweep Coins cannot be purchased and have no cash or monetary value. Sweep Coins may be used to participate in eligible Sweepstakes Games for an opportunity to win additional Sweep Coins. Sweep Coins won through eligible Sweepstakes Game play may, subject to these Sweepstakes Rules and all applicable eligibility and verification requirements, be redeemed for prizes.

1. Sponsor

1.1 Sponsor

The sponsor of the Sweepstakes is ===Clutched Limited===, registered under number ===aaaaaaV===, with its registered address at ===real address=== (“Sponsor,” “We,” “Us,” or “Clutched”).

1.2 Sponsor Decisions

Subject to applicable law, the Sponsor’s decisions regarding the administration and operation of the Sweepstakes, validation of entries and plays, eligibility, and determination of prizes are final and binding.

1.3 Sweepstakes Period

For Sweepstakes Games conducted through individual game rounds or spins, each qualifying game round or spin constitutes a separate Sweepstakes.

The Sweepstakes Period for each such Sweepstakes begins when the qualifying game round or spin starts and ends when the result of that game round or spin is determined.

1.4 Excluded Persons

The following individuals are not eligible to enter or win a prize:

  • officers, directors, employees, agents, and representatives of the Sponsor;
  • officers, directors, employees, agents, and representatives of the Sponsor’s parent companies, subsidiaries, or affiliates;
  • persons or entities involved in the development, operation, administration, or promotion of the Sweepstakes;
  • immediate family members of any such persons, including spouses, parents, children, siblings, and step-relations; and
  • persons residing in the same household as any such excluded person.

The Sponsor and the persons and entities described above are collectively referred to as the “Sweepstakes Parties.”

By participating in a Sweepstakes, entrants (“Entrants” or “Participants”) agree to be bound by these Official Rules and by the Sponsor’s decisions made in accordance with these Official Rules.

Winning or redeeming a prize is contingent upon satisfying all requirements contained in these Official Rules.

If the Sponsor reasonably determines that a Participant has engaged in fraud, abuse, collusion, manipulation, unethical conduct, or other conduct prohibited by these Rules or the Terms of Service, the Sponsor may disqualify or restrict the Participant from participating in Sweepstakes, subject to applicable law.

2. Eligibility to Participate in Sweepstakes

2.1 Eligible Jurisdictions

The Sweepstakes are available only to legal residents of the United States who are physically located in an eligible jurisdiction at the time of participation and are not residents of, or physically located in, any jurisdiction identified as a Prohibited Territory, or any other jurisdiction where participation is prohibited by applicable law.

An Entrant must create a User Account to participate in a Sweepstakes. There is no charge or fee to create a User Account.

2.2 Entrant

A person who participates in a Sweepstakes is referred to in these Official Rules as an “Entrant” or “Participant.”

2.3 Minimum Age

Entrants must be at least twenty-one (21) years of age at the time of entry, or such greater minimum age as may be required by applicable law in the jurisdiction in which the Entrant resides or is located.

2.4 Legal Compliance

Participation in the Sweepstakes is subject to applicable federal, state, and local laws and regulations.

Entrants are responsible for ensuring that they satisfy the eligibility requirements applicable to them and that their participation is lawful in the jurisdiction from which they access the Sweepstakes.

The Sponsor may restrict access to the Sweepstakes in any jurisdiction where the Sponsor determines that operation of or participation in the Sweepstakes may be unlawful or otherwise restricted.

2.5 Acceptance of Rules

Participation in a Sweepstakes constitutes the Entrant’s full and unconditional agreement to these Official Rules, the Terms of Service, and the Sponsor’s decisions made in accordance with them.

Winning and redemption of any prize are contingent upon satisfying all applicable requirements.

2.6 Account Ownership Disputes

In the event of a dispute regarding ownership of a User Account or Sweep Coins associated with a User Account, the authorized account holder of the email address used to register the User Account will be deemed the Entrant unless the Sponsor determines otherwise based on its records.

The “authorized account holder” means the natural person assigned the applicable email address by an internet access provider, online service provider, or other organization responsible for assigning email addresses for the applicable domain.

The Sponsor may require documentation sufficient to verify account ownership.

2.7 Dormant Accounts

Sweep Coins may expire if a User Account becomes Dormant.

For purposes of these Sweepstakes Rules, an Account is considered “Dormant” when there has been no Game play activity using Sweep Coins for a consecutive period of sixty (60) days.

Any expiration or forfeiture will be administered in accordance with applicable law and the Terms of Service.

2.8 Account Closure and Forfeiture

Sweep Coins may be forfeited if an Entrant’s User Account is suspended, closed, or terminated in accordance with the Terms of Service, including where the Entrant violates these Official Rules, the Terms of Service, or applicable law.

Any forfeiture will be subject to applicable law and any redemption rights that cannot legally be waived.

3. How to Obtain Sweep Coins for Free

3.1 Account Registration

An Entrant must create a User Account (“Account”) on the Site to participate in the Sweepstakes and obtain Sweep Coins.

Creating an Account is free.

To participate in a Sweepstakes, an Entrant must access the Site and sign in to their Account.

Accounts may be registered at www.Clutched.us.

3.2 Methods of Obtaining Sweep Coins

Sweep Coins may be obtained through one or more of the following promotional methods.

Availability, amounts, frequency, and eligibility requirements for individual promotions may change from time to time. The applicable promotional offer displayed on the Site or other official Clutched channel will govern the specific promotion.

3.2.1 New Account and Welcome Promotions

By registering an eligible Account on the Site and successfully completing any required verification, Entrants may receive promotional Sweep Coins through new-user or welcome promotions.

For example, eligible Entrants may receive up to 3.55 free Sweep Coins during their first three days by logging in each day, where such promotion is offered.

3.2.2 Daily Login Promotions

Eligible Entrants may claim free Sweep Coins through daily login promotions made available on the Site.

The amount offered may vary depending on the applicable promotion. Where offered, Entrants may be eligible to claim up to 2.50 free Sweep Coins per day.

The amount and terms displayed on the Site at the time of the promotion will apply.

3.2.3 Facebook Promotions

Entrants may obtain opportunities to receive free Sweep Coins by participating in promotional competitions or giveaways offered through Clutched’s official Facebook account.

The applicable promotional post will specify the entry requirements, number or amount of Sweep Coins available, and any additional promotional conditions.

3.2.4 Instagram Promotions

Entrants may obtain opportunities to receive free Sweep Coins by participating in promotional competitions or giveaways offered through Clutched’s official Instagram account.

The applicable promotional post will specify the entry requirements, number or amount of Sweep Coins available, and any additional promotional conditions.

3.2.5 X Promotions

Entrants may obtain opportunities to receive free Sweep Coins by participating in promotional competitions or giveaways offered throughClutched’s official X account.

The applicable promotional post will specify the entry requirements, number or amount of Sweep Coins available, and any additional promotional conditions.

3.2.6 Promotional Draws

Clutched may periodically conduct promotional random draws through which eligible Entrants may receive free Sweep Coins.

The number of winners, promotional period, entry requirements, and amount of Sweep Coins awarded will be stated in the applicable promotion.

3.2.7 Email Promotions

Entrants may receive opportunities to obtain free Sweep Coins through promotional emails sent by Clutched, including welcome-email promotions.

Any required action and the applicable promotional reward will be stated in the relevant email.

3.2.8 Refer a Friend

Eligible Entrants may obtain free Sweep Coins through the Clutched Refer a Friend program.

An Entrant may receive Sweep Coins when a referred person registers through the Entrant’s referral link and satisfies the applicable qualifying requirements. Additional Sweep Coins may be awarded upon further qualifying activity by the referred person.

The applicable Refer a Friend terms displayed on the Site govern eligibility and rewards.

3.2.9 Promotional Sweep Coins Accompanying Gold Coin Purchases

From time to time, when a User purchases Gold Coins for entertainment play, the Sponsor may provide Sweep Coins as a free promotional bonus.

Sweep Coins are not purchased, are not part of the price paid for Gold Coins, and no additional consideration is required to receive promotional Sweep Coins included with an eligible Gold Coin offer.

The number of promotional Sweep Coins, if any, provided with a Gold Coin purchase will be clearly displayed before the purchase is completed.

A purchase is never required to obtain Sweep Coins because Sweep Coins are also available for free through the alternative methods described in this Section 3, including the Alternative Method of Entry described below.

3.2.10 Alternative Method of Entry — Mail-In Request

No Purchase Necessary

Entrants may obtain free Sweep Coins without making a purchase by submitting a valid mail-in request in accordance with the following Alternative Method of Entry (“AMOE”).

Subject to Account verification procedures, an eligible Entrant may request free Sweep Coins by mailing a handwritten request to:

A. Obtain a Sweepstakes Request Code

Before preparing a mail-in request, the Entrant must obtain a unique Sweepstakes Request Code through their Account.

To obtain a Sweepstakes Request Code:

  1. Sign in to your User Account.
  2. Navigate to the Sweepstakes Rules page.
  3. Click the Request Sweep Coins Request Code link HERE.
  4. Click the Request Code button.
  5. Follow the instructions displayed.
  6. A unique Sweepstakes Request Code will be displayed for a limited period of time so that the Entrant may record it.

A Sweepstakes Request Code is a unique thirteen (13)-digit code associated with an Entrant’s Account.

Each Sweepstakes Request Code:

  • may be used only once;
  • may be used for only one mail-in request;
  • may not be transferred or shared;
  • may not be used by another Entrant; and
  • must be valid when the corresponding request is received.

Sharing, transferring, selling, duplicating, or otherwise misusing Sweepstakes Request Codes is prohibited and may result in rejection of the request and other action permitted under these Official Rules or the Terms of Service.

B. Envelope Requirements

For each request, the Entrant must use a separate outer envelope.

The Entrant must handwrite the following information on the envelope:

  1. the Entrant’s return address;
  2. the URL www.Clutched.us;
  3. the words “Sweep Coins Request”; and
  4. the Entrant’s unique Sweepstakes Request Code in the upper-left corner of the envelope.
C. Request Card Requirements

The Entrant must place one handwritten request card inside the envelope.

Using blue or other non-black ink, the Entrant must legibly handwrite the following information on the request card:

  • Entrant’s full legal name;
  • www.Clutched.us;
  • Entrant’s complete return address;
  • the unique Sweepstakes Request Code in the upper-left corner of the request card;
  • the email address registered to the Entrant’s User Account; and
  • the following statement:

“I would like to request free Sweep Coins offered by ===Clutched Limited=== in order to participate in the promotional Sweepstakes offered on Clutched.us. I agree to be bound by the Clutched.us Terms of Service and Official Sweepstakes Rules.”

D. One Request Per Envelope

Only one (1) Sweep Coins request card may be submitted in each outer envelope.

E. Amount Awarded

For each valid and compliant mail-in request received and approved by the Sponsor, four (4) Sweep Coins will be credited to the Entrant’s Account.

No purchase or payment is required to submit a mail-in request.

F. Request Code Expiration

The corresponding mail-in request must be received at the designated mailing address within twenty-five (25) days after the Sweepstakes Request Code was generated.

Requests associated with a Sweepstakes Request Code received after this twenty-five (25)-day period will be invalid and will not be processed.

G. Handwriting and Legibility

All required information must be handwritten by the Entrant and must be legible.

Requests containing illegible, incomplete, mechanically reproduced, photocopied, computer-generated, stamped, or otherwise non-compliant information may be rejected.

H. Address and Mailing Requirements

The return address stated on the envelope must correspond to the City, ZIP Code, and State associated with the Entrant’s verified residential address on their User Account.

The request must also be mailed from the same State as the verified residential address associated with the Entrant’s User Account.

I. Entrant Must Prepare Their Own Request

Mail-in requests must be prepared and submitted by the Entrant requesting the Sweep Coins.

Requests prepared or submitted on behalf of an Entrant by another person, organization, service, automated process, or commercial request service are invalid.

J. Prohibited Request Methods

Entrants may not:

  • photocopy or mechanically reproduce request cards;
  • use automated or systematic processes to generate request cards or Request Codes;
  • share or transfer Sweepstakes Request Codes;
  • submit requests using false or misleading Account or identity information;
  • submit requests for another person;
  • tamper with the AMOE process; or
  • otherwise circumvent the requirements of these Official Rules.

Requests that do not comply with these requirements may be rejected.

K. Lost or Misdirected Requests

The Sponsor is not responsible for mail-in requests that are lost, late, incomplete, damaged, illegible, postage-due, stolen, delayed, misdirected, or otherwise not received in compliance with these Official Rules.

Non-compliant requests will not be acknowledged or returned.

3.3 Sweep Coin Balance

The number of Sweep Coins associated with an Entrant’s Account will be displayed within the Entrant’s User Account.

Subject to applicable law, the Sponsor may modify the number of promotional Sweep Coins awarded under future promotions.

Any modification will apply prospectively and will not retroactively reduce Sweep Coins already validly awarded except where adjustment is required due to error, fraud, violation of these Rules or the Terms of Service, chargeback, reversal, or other circumstances expressly permitted by these Rules.

4. Using Sweep Coins

4.1 Sweepstakes Game Play

Entrants who have Sweep Coins may use them to participate in eligible Sweepstakes Games for a chance to win additional Sweep Coins.

Sweep Coins won through eligible Sweepstakes Game play may become Redeemable Sweep Coins, subject to these Official Rules and applicable verification requirements.

4.2 Available Prizes and Game Information

Applicable game rules, play amounts, potential outcomes, and other relevant information will be displayed within the interface of each eligible Sweepstakes Game.

4.3 Game Odds and RTP

Each Sweepstakes Game may have its own applicable rules, odds, prize structure, and theoretical return-to-player percentage (“RTP”).

The applicable information will be made available through the Game interface or related game information.

Subject to applicable law, the Sponsor or applicable game provider may modify the configuration, prize structure, odds, or RTP of a Sweepstakes Game prospectively, but will not modify the result of a Sweepstakes Game after a qualifying play has begun.

Entrants are responsible for reviewing the applicable Game information before participating.

Game outcomes are determined independently in accordance with the applicable game mechanics. Prior wins or losses do not guarantee or alter the outcome of a future qualifying play except where expressly provided by the rules of a particular Game.

RTP is a theoretical statistical measure calculated over a large number of plays and does not represent or guarantee the result for any individual Entrant, session, or Game play.

Only eligible Games played using Sweep Coins provide an opportunity to win additional Sweep Coins that may become eligible for prize redemption.

4.4 Redeemable Sweep Coins

Sweep Coins obtained directly through any promotional method described in Section 3 are not immediately redeemable.

Before promotional Sweep Coins may become eligible toward a Prize Redemption, they must be used to participate in an eligible Sweepstakes Game at least once, unless the Sponsor expressly provides otherwise.

Only Sweep Coins resulting from qualifying Sweepstakes Game play and designated by the Sponsor as redeemable may be used to request a Prize Redemption.

Sweep Coins themselves do not constitute cash, stored value, legal tender, or any other monetary instrument. They may only be used within the Sweepstakes as described in these Official Rules.

4.5 Prohibited Play

Automated, systematic, fraudulent, coordinated, or abusive methods of participating in Sweepstakes or attempting to obtain or redeem Sweep Coins are prohibited.

Prohibited conduct includes, without limitation:

  • automated Game play;
  • bots or scripts;
  • multiple User Accounts controlled by the same individual;
  • false identities;
  • collusive activity;
  • exploitation of technical errors;
  • manipulation of promotions or game functionality; and
  • any other activity prohibited by the Terms of Service.

Violations may result in disqualification, suspension or termination of the User Account, cancellation of affected plays, and forfeiture of Sweep Coins or prizes to the extent permitted by applicable law.

4.6 Sponsor Determinations

Subject to applicable law, the Sponsor’s decisions regarding administration of the Sweepstakes, validation of Sweepstakes Game play, eligibility, and Prize Redemptions are final and binding.

5. Verification and Confirmation of Potential Winners

5.1 Verification Required

POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY THE SPONSOR. A PARTICIPANT IS NOT A CONFIRMED WINNER OF ANY PRIZE, EVEN IF THE SITE OR GAME INTERFACE INDICATES A WINNING RESULT, UNLESS AND UNTIL THE PARTICIPANT’S ELIGIBILITY, THE VALIDITY OF THE APPLICABLE GAME PLAY, AND COMPLIANCE WITH THESE OFFICIAL RULES HAVE BEEN VERIFIED BY THE SPONSOR.

SCREENSHOTS, RECORDINGS, OR OTHER USER-GENERATED RECORDS OF A PURPORTED WIN DO NOT REPLACE THE SPONSOR’S SYSTEM RECORDS OR VALIDATION PROCESS.

Participants may be required to successfully complete identity, age, location, and other verification procedures before participating in certain Sweepstakes activities or redeeming a Prize.

Such procedures may include Know Your Customer (“KYC”) verification and, where legally permitted or required, may involve:

  • government-issued photo identification;
  • facial or biometric identity verification;
  • proof of residential address;
  • Social Security Number or other taxpayer identification information; and
  • any other information reasonably required to verify identity, eligibility, fraud prevention, tax compliance, or compliance with applicable law.

5.2 Compliance Required

Potential winners must comply with these Official Rules and the Terms of Service.

Prize eligibility and redemption are contingent upon successful completion of all applicable verification requirements.

5.3 Documentation

Where permitted by law, a potential winner may be required to complete and return documentation reasonably required by the Sponsor, including an affidavit or declaration of eligibility and a liability and/or publicity release.

5.4 Failure to Verify

A potential winner may forfeit their right to a Prize if they:

  • cannot be contacted after reasonable attempts;
  • fail to provide required verification information within the specified period;
  • fail to complete required winner documentation;
  • provide false, incomplete, or misleading information;
  • fail to satisfy eligibility requirements;
  • violate these Official Rules or the Terms of Service; or
  • otherwise fail to complete the Sponsor’s lawful Prize verification process.

6. Prizes and Redemptions

6.1 Only Redeemable Sweep Coins May Be Redeemed

Only Sweep Coins designated as Redeemable Sweep Coins may be used toward a Prize Redemption.

Unless otherwise expressly stated by the Sponsor, Sweep Coins obtained through any promotional method under Section 3 must first be played through in an eligible Sweepstakes Game at least once before they may become Redeemable Sweep Coins.

6.2 Requesting a Redemption

An eligible Entrant may submit a Prize Redemption request by selecting the “Redeem” option available through the Site and following the instructions displayed.

Prize Redemption requests remain subject to eligibility, verification, fraud review, and these Official Rules.

6.3 Cash Prizes

An Entrant who has accumulated at least seventy-five (75) Redeemable Sweep Coins may request a Cash Prize, subject to successful completion of all applicable verification requirements.

For purposes of calculating an eligible Cash Prize Redemption:

1 Redeemable Sweep Coin = USD $1.00 of potential Prize value.

Accordingly, the minimum Cash Prize Redemption request is USD $75.00.

Sweep Coins themselves do not represent or constitute USD funds. The USD equivalence above applies solely for determining the Prize value for an approved redemption.

Where permitted by applicable law, the Sponsor may charge a reasonable processing fee associated with a Prize Redemption. Any applicable fee will be disclosed to the Entrant before completion of the redemption.

6.4 Gift Card Prizes

An Entrant who has accumulated at least ten (10) Redeemable Sweep Coins may request an eligible Gift Card Prize, subject to availability and successful completion of all applicable verification requirements.

For purposes of calculating an eligible Gift Card Prize:

1 Redeemable Sweep Coin = USD $1.00 of potential Gift Card Prize value.

Accordingly, the minimum Gift Card Prize Redemption request is USD $10.00.

Available gift cards, denominations, and any applicable restrictions will be displayed through the redemption interface.

6.5 Taxes

Prize winners are solely responsible for any federal, state, local, or other taxes, duties, fees, or reporting obligations arising from the receipt or redemption of a Prize.

The Sponsor may issue tax documentation, request taxpayer information, or withhold amounts where required by applicable law.

6.6 Non-Transferability

Sweep Coins are non-transferable and may not be sold, assigned, exchanged, gifted, or transferred between User Accounts.

Prizes may not be transferred or substituted by the Entrant except where expressly permitted by the Sponsor.

Where a particular Prize becomes unavailable for reasons outside the Sponsor’s reasonable control, the Sponsor may substitute a Prize of equal or greater value, where permitted by law.

6.7 Verification Before Redemption

Before processing a Prize Redemption, the Sponsor may require completion of applicable verification procedures.

These may include, without limitation:

6.7.1 Payment Method Verification

Where the Entrant has previously used a credit card, debit card, bank account, or other payment method on the Site, the Sponsor may verify that the payment method belongs to the Entrant.

6.7.2 Identity and Compliance Verification

The Sponsor may require verification of:

  • legal name;
  • age;
  • identity;
  • residential address;
  • location;
  • eligibility;
  • payment method ownership;
  • fraud and security information;
  • source of funds or source of wealth where reasonably required or legally applicable; and
  • any other information necessary to satisfy legal or regulatory obligations.
6.7.3 Redemption Account

For security, fraud prevention, and compliance purposes, the Sponsor will generally process Cash Prize Redemptions only to an eligible payment account held in the Entrant’s name.

Where the Entrant provides a jointly held account, the Sponsor may require additional documentation relating to the joint account holder before processing the Prize Redemption.

6.8 Frequency of Redemptions

Unless otherwise stated on the Site, an Entrant may submit no more than one (1) Prize Redemption request during any forty-eight (48)-hour period.

The Sponsor will process eligible Prize Redemption requests as soon as reasonably practicable, subject to verification, security, fraud prevention, payment-provider processing, and other applicable requirements.

6.9 Processing Time

Prize Redemption requests may take up to ten (10) days to process after all required verification information has been received and approved.

Actual processing times may vary depending on the selected payment method, payment provider, financial institution, verification requirements, fraud and security review, or other factors outside the Sponsor’s reasonable control.

6.10 Larger Redemptions

Prize Redemptions exceeding USD $2,500 may require additional processing time because of payment-provider, banking, identity, security, fraud-prevention, or compliance checks.

Where reasonably necessary, a larger Prize Redemption may be delivered in multiple payments, subject to applicable law.

6.11 State-Specific Prize Restrictions

Prize eligibility, redemption limits, reporting requirements, and other Sweepstakes requirements may vary by jurisdiction.

Where applicable federal, state, or local law imposes a restriction or requirement relating to the amount, payment, registration, bonding, reporting, or administration of a Prize, the Sponsor will administer the Sweepstakes and applicable Prize Redemption in accordance with such requirements.

The Sponsor may restrict, limit, or suspend Sweepstakes participation or Prize Redemptions in a jurisdiction where necessary to comply with applicable law.

6.12 Daily Redemption Limit

Subject to applicable law, the Sponsor reserves the right to limit the total amount of Prize Redemptions processed for an Entrant to USD $10,000 per calendar day.

Redemption requests exceeding an applicable daily processing limit may be processed on subsequent days.

6.13 Account Closure and Remaining Sweep Coins

Sweep Coins have no cash or monetary value and do not constitute funds held on behalf of an Entrant.

If an Entrant voluntarily closes their User Account while holding Redeemable Sweep Coins that satisfy an applicable minimum Prize Redemption threshold, the Entrant should submit an eligible Prize Redemption request before closing the Account.

If an Account contains fewer than the minimum number of Redeemable Sweep Coins required for any available Prize Redemption, no Prize Redemption will be available for that remaining balance.

Upon closure or termination of an Account, remaining Sweep Coins may be cancelled and forfeited in accordance with these Official Rules, the Terms of Service, and applicable law.

6.14 Chargebacks and Payment Reversals

If a purchase or payment associated with an Entrant’s User Account is subsequently charged back, reversed, refunded, disputed, cancelled, or otherwise invalidated, the Sponsor may investigate the transaction and its effect on promotional benefits credited in connection with that transaction.

To the extent permitted by applicable law and the Terms of Service, the Sponsor may:

  • suspend pending Prize Redemptions while the matter is investigated;
  • cancel or adjust promotional benefits associated with the reversed transaction;
  • restrict additional Prize Redemptions;
  • suspend the Entrant’s Account; or
  • take other reasonably necessary action to reconcile the affected transaction.

The Sponsor will not cancel validly earned prizes solely because an unrelated transaction is disputed unless permitted under these Official Rules, the Terms of Service, and applicable law.

6.15 Redemption Payment Method

The Sponsor reserves the right to select or change the payment method used to process a Prize Redemption where reasonably necessary for security, fraud prevention, payment-provider availability, compliance, or operational reasons.

Available methods may include electronic payment, bank transfer, check, gift card, or another lawful payment method.

If a Prize is paid by check, the check will be issued in the Entrant’s verified legal name and mailed to the verified address associated with the Entrant’s User Account.

6.16 Tax Information and Withholding

Each Prize winner is solely responsible for all applicable federal, state, local, and other taxes associated with the acceptance or use of a Prize.

Where required by law, the Sponsor may:

  • request a valid Social Security Number or other taxpayer identification number;
  • issue applicable tax forms;
  • report Prize information to tax authorities; and
  • withhold and remit any portion of a Prize required by applicable law.

Failure to provide information required for lawful tax reporting or withholding may prevent or delay processing of a Prize Redemption.

7. Entry Conditions and Release

7.1 Agreement by Entrants

By participating in the Sweepstakes, each Entrant agrees to:

7.1.1 Compliance

Comply with these Sweepstakes Rules, the Terms of Service, and the decisions of the Sponsor made in accordance with them.

7.1.2 Release

To the fullest extent permitted by applicable law, release and hold harmless the Sponsor, its parents, subsidiaries, affiliates, Prize suppliers, Game providers, and other organizations responsible for administering, fulfilling, advertising, or promoting the Sweepstakes, together with their respective current and former officers, directors, employees, agents, and representatives (collectively, the “Released Parties”), from claims, liabilities, losses, damages, costs, or expenses arising out of or relating to:

  • participation in a Sweepstakes;
  • submission or attempted submission of an entry;
  • acceptance, possession, use, or misuse of a Prize;
  • participation in any Prize-related activity;
  • infringement of intellectual property or publicity rights arising from materials submitted by the Entrant; or
  • any other matter relating directly to the Entrant’s participation in the Sweepstakes,

except to the extent such liability cannot lawfully be excluded.

7.1.3 Indemnification

To the fullest extent permitted by applicable law, indemnify, defend, and hold harmless the Sponsor against third-party claims, expenses, damages, liabilities, and reasonable legal fees arising from the Entrant’s violation of these Official Rules, violation of applicable law, misuse of the Sweepstakes, or infringement of another person’s rights.

8. Publicity

8.1 Publicity Rights

Except where prohibited by law, acceptance of a Prize may constitute permission for the Sponsor and its authorized agents to use the winner’s name, likeness, photograph, voice, opinions, hometown, and state for legitimate advertising, promotional, and publicity purposes relating to the Sweepstakes without additional compensation.

Any such use will be subject to applicable law.

Where legally required, the Sponsor will obtain any additional consent necessary before using an Entrant’s name, image, likeness, or other personal attributes for promotional purposes.

9. General Conditions

9.1 Modification, Suspension, or Cancellation

The Sponsor reserves the right, to the extent permitted by applicable law, to cancel, suspend, modify, or terminate a Sweepstakes or these Official Rules if fraud, technical failures, errors, security incidents, legal or regulatory requirements, events outside the Sponsor’s reasonable control, or other circumstances materially affect the integrity, security, fairness, or proper operation of the Sweepstakes.

Where reasonably practicable, material changes will be communicated through the Site.

Changes will not be applied retroactively to alter the outcome of a validly completed Sweepstakes play except where required to correct fraud, manifest error, technical malfunction, or other invalid activity.

9.2 Disqualification

The Sponsor may disqualify an Entrant who the Sponsor reasonably determines has:

  • tampered with or attempted to manipulate a Sweepstakes;
  • interfered with the operation of the Site;
  • used unauthorized automated systems;
  • submitted false or misleading information;
  • engaged in fraud, collusion, or abusive conduct;
  • violated these Official Rules or the Terms of Service; or
  • acted in a manner intended to disrupt or undermine the legitimate operation of a Sweepstakes.

9.3 Attempts to Interfere

Any deliberate attempt to damage the Site, circumvent Sweepstakes functionality, interfere with lawful Sweepstakes administration, or undermine the legitimate operation of a Sweepstakes may violate civil or criminal law.

The Sponsor reserves all rights and remedies available under applicable law.

The Sponsor’s failure to enforce a provision of these Official Rules in any particular circumstance does not constitute a waiver of that provision.

9.4 Notice of Changes

Where the Sponsor cancels, suspends, or materially modifies the Sweepstakes or these Official Rules, notice may be posted on Clutched.us or otherwise communicated to affected Entrants where appropriate.

9.5 Acceptance of Updated Rules

Any modification to these Official Rules will become effective on the effective date stated in the updated version, subject to applicable law.

Continued participation in Sweepstakes after an updated version becomes effective constitutes acceptance of the updated Sweepstakes Rules.

If an Entrant does not agree to an updated version, the Entrant must stop participating in Sweepstakes.
